NUMEN Terms of Service

Effective date: October 1, 2026

These Terms of Service govern your use of numentrades.work and the services provided by Bennett Group International, LLC, the owner of Numen ("Numen," "we," "us"). By using our website or signing up for our services, you agree to these Terms.

1. Acceptance and service agreement

These Terms apply to everyone who uses our website. If you become a client, your signed Service Agreement also applies. If these Terms and your Service Agreement conflict, the Service Agreement controls.

In these Terms, "Client" or "you" means the business that signs up for Numen's services, and "Customers" means the people and businesses who contact, hire, or pay a Client.

2. Our services

Numen either sets up a client's business identity or manages the accounts they already have. Numen provides back-office services for tradespeople and service businesses, which may include:
• Setting up a professional business identity: phone number, email, website, social media pages, and Google Business Profile.
• Building customized marketing plans, running advertising, and managing the sales pipeline.
• Answering Customer calls, scheduling jobs, and sending reminders and updates.
• Sending invoices, providing payment links, and following up on late payments.

Most Clients' business identity and profiles are set up within 10 business days of signing on. This is an estimate, not a guarantee. The specific services you receive are described in your Service Agreement.

3. Fees, ad spend, and payment

Service fee.

Numen charges a percentage of the total job value for each job we bring you. The percentage is set based on your trade, ranges from 1% to 6%, and is stated in your Service Agreement. We do not charge a fee on jobs you obtain on your own.

When fees are billed.
• Large-ticket trades (for example, roofing): we invoice our fee when your Customer pays the first deposit on a job.
• Smaller-ticket trades (for example, electrical and plumbing): we send one weekly invoice covering all jobs completed that week.

Service fee is ultimately dictated by service agreement and may be subject to change on an individual basis.

Invoices include a payment link and are due within 7 days. Late payments may result in a pause of services or late fees.

Ad spend.

You are responsible for advertising costs. We build your marketing plan and run your ads at cost, with no markup. Ad spend is billed monthly based on the advertising budget agreed in your Service Agreement, and is not refundable once spent with the advertising platform.

Customer payments.

Customer payments go directly to your business. Numen does not hold Customer funds.

Cancelled jobs.

If a Customer cancels a job after paying a deposit, our fee is reduced to apply only to the amount the Customer actually paid. For example, if a Customer pays a $20,000 deposit on a $100,000 job and then cancels, our fee applies to the $20,000, not the full $100,000, and we will adjust our invoice accordingly.

4. Introductory period, term, and cancellation

90-day introductory period.

Every new Client begins with a 90-day introductory period, starting on the date your Service Agreement is signed.

Cancelling during the introductory period.

You may cancel at any time during the first 90 days by giving us written notice. A $500 early cancellation fee applies to cover the cost of setting up your phone line, website, email, social media pages, and Google Business Profile.

This fee is reduced by any service fees you have already paid Numen during the introductory period.

If you have paid Numen $500 or more in service fees, no early cancellation fee applies. For example, if you have paid $300 in service fees, your early cancellation fee is $200. Clients who bring their own accounts owe no early cancellation fee. At the end of the introductory period, they pay a $50 transition fee instead of the $450 transfer.

At the end of the introductory period, you may:

1. Continue with Numen under an annual contract, which begins on day 91; or

2. End services and take your setup with you by paying a $450 transfer fee (see Section 5); or

3. End services without a transfer, in which case we will shut down the accounts we created for you at no additional cost.

Annual contracts.

After the introductory period, Numen contracts run for 12 months. Contracts renew automatically for another 12-month term on the anniversary of your signing date. We will notify you at least 30 days before each renewal, so you can change your terms or end your contract before it renews.

Termination by Numen.

We may suspend or end services at any time if you fail to pay invoices; repeatedly cancel jobs; receive consistent Customer complaints about sub-par work; are found to be unlicensed or uninsured for the work you perform; breach these Terms or your Service Agreement; or use our services unlawfully.

Fees after termination for cause.

If we end services for cause, all fees owed remain due, including the applicable early cancellation fee if services end during the 90-day introductory period.

Appeals.

A Client whose services are ended for cause may appeal through third-party arbitration in Columbia County, Georgia, to show that they did not violate these Terms. The Client must request an appeal in writing within 30 days of termination. The Client is responsible for the arbitrator's fees unless the arbitrator finds Numen (Bennett Group International, LLC) responsible. If the arbitrator rules in the Client's favor, the early cancellation fee and other termination-related fees are waived, and the accounts Numen created for the Client will be shut down unless the Client chooses the standard $450 transfer described in Section 5.

Fees after services end.

For 60 days after your services end, our fee still applies to any job that entered our system as a quote while you were a Client and is later completed.

5. Business identity accounts and transfer

Bring your own accounts.

If you already have a business phone number, email, website, domain, social media pages, or Google Business Profile, you can keep them. You remain the owner at all times, and Numen manages them through access you grant us. No setup fee or early cancellation fee applies. When services end, we will transition everything back to you, including returning your call routing and removing our access, for a $50 transition fee.

Accounts Numen sets up.

f you choose to have Numen set up your accounts, Numen creates and manages your business phone number, email, website, domain, social media pages, and Google Business Profile on your behalf. While you are a Client, these accounts are managed by Numen to deliver our services.

If you leave Numen, we will transfer these accounts to you for a $450 transfer fee, payable before the transfer. All outstanding invoices and fees must be paid in full before we release any accounts or business products to you. Transfer includes porting your phone number, transferring your domain and Google Business Profile ownership, handing over social media page access, and providing your website and email in a transferable format. Third-party costs, such as domain renewals or a carrier's porting charges, may be billed separately.

If you do not request a transfer within 30 days of your services ending, we may shut down the accounts. Content on your website or pages that you provide remains yours. Templates, tools, and systems owned by Numen are not included in a transfer.

6. Client responsibilities

As a Client, you agree to:
• Hold a valid Georgia license for your trade and the work you perform, carry your own general liability insurance of at least $1,000,000, and keep both current. You must provide proof of licensure and insurance when you sign on and whenever we request it, and hold any permits your work requires.
• Perform all work yourself or through your own crew, and remain solely responsible for its quality, safety, warranties, and compliance with codes and laws.
• Set your own prices, schedule, and the jobs you accept.
• Give us accurate, timely information about your business, availability, and completed jobs, so we can bill accurately.
• Report jobs and job values from Numen-generated leads honestly and in full.
• Not ask us to make false or misleading claims to Customers or in advertising.

Numen is not a contractor and does not perform trade work. We are not a party to the contracts between you and your Customers, and neither Numen nor Bennett Group International, LLC is responsible for your work, your work product, or how you run your business. This includes the quality, safety, timeliness, warranties, and code compliance of your work.

We work to represent you fairly and accurately in all advertising and Customer communications, in line with Federal Trade Commission (FTC) truthful-advertising requirements. Because our advertising relies on the information you give us, you are responsible for any inaccurate or misleading claims that result from false or incomplete information you provide.

7. Website use and intellectual property

You may use our website for lawful purposes only. You agree not to interfere with the site's operation, attempt to access it without authorization, or submit false information through our forms.

The Numen name, logo, website content, and materials are owned by Bennett Group International, LLC and may not be copied or used without our written permission. Our website may link to third-party sites, which we do not control and are not responsible for.

8. No guarantee of results

We work hard to bring you jobs, but we do not guarantee a specific number of leads, jobs, conversion rate, or revenue. Results depend on your market, trade, pricing, reviews, and the quality of your work.

9. Disclaimers and limitation of liability

Our website and services are provided "as is" and "as available." To the fullest extent allowed by law, Numen disclaims all warranties not expressly stated in these Terms or your Service Agreement.

Numen is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost jobs. Our total liability for any claim is limited to the fees you paid Numen in the 3 months before the claim arose.

Numen is not responsible for outages or changes by third-party providers, such as phone carriers, advertising platforms, Google, social media sites, or payment processors.

10. Indemnification

You agree to defend and hold harmless Numen from claims arising from your work, your dealings with Customers, your violation of law, or your breach of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of the State of Georgia. Any dispute will be resolved in the state or federal courts serving Columbia County, Georgia, unless your Service Agreement provides otherwise. Appeals of termination for cause are resolved through arbitration, as described in Section 4.

12. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page with a new effective date and notify Clients of material changes by email.
